Amazon DSP – Urgently Way Pro Fleet Subscription Plan

SUBSCRIPTION PLAN TERMS AND CONDITIONS

This is not an automobile liability insurance contract or an insurance contract.

This vehicle subscription plan is designed for Amazon Delivery Service Partners.

1.  GENERAL AGREEMENT

Way.com is the online retailer and individual account manager of YOUR Amazon DSP – Urgently Way Pro Fleet Subscription Plan. Urgent.ly Inc., is the obligor of the roadside benefits unless noted. Service is available in all 50 States and the District of Columbia.

Vehicles eligible for the roadside program benefits (“Covered Vehicles”) are defined below. Covered services (“Roadside Assistance and Towing Services”), set forth in Section 3(a) below, are available starting forty-eight (48) hours after YOUR purchase of this Urgently Way Pro Fleet Subscription Plan.

2.  DEFINITIONS

“WE,” “US,” “OUR,” and “OBLIGOR” means Urgent.ly Inc., 8609 Westwood Center Drive, Suite 810, Vienna VA 22182, in all states and jurisdictions except Alabama, Arkansas, California, Connecticut, Indiana, Maryland, Massachusetts, Mississippi, Montana, Nebraska, Nevada, New Hampshire, New Mexico, North Carolina, Oklahoma, Rhode Island, South Carolina, Tennessee, Texas, Utah, Wisconsin or Wyoming, where “WE,” “US,” “OUR,” and “OBLIGOR” shall mean CT Auto Club, Inc., 16150 Main Circle Drive, Suite 410, Chesterfield MO 63017 (collectively the Motor Club).

The OBLIGORS are responsible to YOU for the covered benefits and services under this coverage package. In all states and jurisdictions, Way.com works in collaboration with Amazon DSP to create roadside assistance dispatches. Urgent.ly is responsible for fulfillment of all dispatch requests.

“YOU,” and “YOUR” means the original purchaser of this Urgently Way Pro Fleet Subscription Plan as shown on the receipt provided at point of sale by the original purchaser to whom a digital Urgently Way Pro Fleet Subscription Plan is issued.

“COVERED VEHICLE” means YOUR vehicle. WE only offer services for self-propelled commercial vehicles used for delivery purposes under the Amazon DSP program. Vehicles exceeding 26,000 lbs. Gross Vehicle Weight, and/or thirty-five feet in length, and vehicles that cannot lawfully be towed using medium duty towing equipment are excluded. For the Amazon DSP program, each COVERED VEHICLE is subject to the Terms and Conditions on a per-VIN basis. Each COVERED VEHICLE will be charged an annual Urgently Way Pro Fleet Subscription Plan fee and will receive an annual allotment of benefits.

“TERM” means the period of time in which the provisions of this coverage are valid. This coverage plan and related benefits are effective forty-eight (48) hours after purchase (unless otherwise noted) by YOU on the date shown on YOUR receipt and expire twelve (12) months from the purchase date. For YOUR convenience, each Urgently Way Pro Fleet Subscription Plan is set for automatic renewal terms of twelve (12) months.

YOU may be offered on-demand service for a fee if emergency roadside services are requested before coverage takes effect.

“DISABLED,” or “DISABLEMENT” means the COVERED VEHICLE is unable to safely proceed under its own power either at a garage or driveway or any normally traveled public street, highway or parking area.

3.  WHAT IS COVERED

The primary purpose of this roadside coverage package is to provide the services outlined below in common roadside assistance situations related to the COVERED VEHICLE. Please contact Amazon DSP dispatch for roadside assistance requests.

In the event authorized driver of the COVERED VEHICLE needs assistance, WE agree to provide these services as applicable;

YOUR COVERED VEHICLE is entitled to four (4) roadside requests per year. However, a covered request will only be provided for one of the same service of the following service types during any consecutive three (3)-day period: Automotive Lockout, Fuel Delivery, or Jump Start. Covered services are available in the event of unforeseen disablement of the COVERED VEHICLE; this plan is not a substitute for routine maintenance or repair. YOU will be offered on-demand service for a fee should YOU be within YOUR waiting period, fall within the 3-day same service clause, or exhaust YOUR annual requests allotment and require assistance prior to the end of YOUR twelfth (12th) month. YOUR allocation of roadside requests will reset to four (4) at the beginning of your thirteenth (13th) month and subsequent annual renewal terms.

A.  Roadside Assistance and Towing Services

Vehicle Towing;

Up to 30 Miles: Towing is provided up to thirty (30) miles for the COVERED VEHICLE to a destination selected by the Amazon DSP dispatcher. Any additional expenses incurred beyond the 30-mile limit are YOUR responsibility, payable to Way.com

Roadside Services;

Flat Tire: Service is provided to change a flat tire with YOUR inflated spare on the COVERED VEHICLE. If no spare is available, the vehicle may be towed. Towing coverage terms and conditions then apply. Towing is considered an additional, second event.

Jump Start or Minor Roadside Adjustments to Start Vehicle: Service is provided to jump start a dead battery or make other minor roadside adjustments to start the COVERED VEHICLE. Service provider is not required to remain with the vehicle while the battery charges. Expenses for more extensive repairs, parts and labor are YOUR responsibility, payable directly to the service facility, and are not reimbursable. Additionally, if vehicle towing is required, towing terms and conditions apply. Towing is considered an additional, second event.

Lockout: Service is provided to gain access if the ignition key is lost or accidentally locked inside the COVERED VEHICLE. If Lockout service is attempted but unsuccessful, a tow may be required. If vehicle towing is required, towing terms and conditions apply. Towing is considered an additional, second event.

Fuel Delivery: Provided the COVERED VEHICLE is out of fuel, a service vehicle will deliver up to two (2) gallons of fuel to the customer’s location, where allowed. The fuel itself is a covered benefit. If fuel delivery does not solve disablement, a tow may be required. If vehicle towing is required, towing terms and conditions apply. Towing is considered an additional, second event.

Winching: Service is provided to winch or extricate the COVERED VEHICLE if it is stuck in a ditch, mud, or snow, provided it is within one-hundred (100) feet of a normally-traveled roadway or driveway (paved or unpaved) or established thoroughfare that is safely accessible to the service vehicle and conditions allow for the vehicle to be dislodged using standard tow or winch equipment. Dispatch coverage for winching is provided via one (1) truck and one (1) driver for up to sixty (60) minutes. If additional drivers, vehicles, time, or equipment is required to winch or extricate the COVERED VEHICLE, additional expenses incurred are YOUR responsibility. If additional service is required for the vehicle after the Winch, it will be considered a second service event and subject to the terms and conditions of this agreement.

Roadside Assistance and Towing benefits combined are limited to four (4) requests per coverage TERM.

Roadside Reimbursement: If WE are unable to locate a service provider in the area of vehicle DISABLEMENT, or authorities supersede YOUR ability to control dispatch request, YOU may locate a substitute service provider and submit a reimbursement request for consideration up to the amount it would have cost to provide the covered service under similar circumstances. To be eligible for and receive reimbursement, WE must see a record of creation of an initial service request. Please email a copy of YOUR receipt along with YOUR name and address to support@way.com. Approved reimbursement results in a reduction of remaining allowable service requests.

B.  Traffic Court Defense

Member and associated COVERED VEHICLE will be reimbursed up to $100 for YOUR defense regarding traffic tickets. Choose any attorney, other than yourself or a family member, to represent YOU. Traffic court defense claims are limited to once during YOUR coverage period. For reimbursement, email a copy of the ticket tied to the COVERED VEHICLE along with the bill from YOUR attorney to support@way.com.

C.  Auto Theft Reward

A reward of $1,000 for information leading to the arrest and conviction of anyone who steals YOUR COVERED VEHICLE. Members, family members and law enforcement personnel are ineligible for this reward. The reward does not cover loss from vandalism or stolen contents. Auto theft reward claims are limited to once during YOUR coverage period. For reimbursement, please have informant submit applicable police reports to support@way.com. Other documents may be requested as proof of YOUR claim. Be prepared to provide police reports and proof of the arrest and conviction associated with the auto theft.

All requests for reimbursements must be received within 60 days after the date of the event and must have occurred during Urgently Way Pro Fleet Subscription Plan tenure.

4.  PROGRAM ELIGIBILITY

The program is limited to YOUR COVERED VEHICLE. WE only offer services for self-propelled commercial vehicles (up to 26,000 lbs. Gross Vehicle Weight Rating) used for delivery purposes under the Amazon DSP program. Vehicles in class 6 and above as defined by the United States Department of Transportation (USDOT), vehicles rented by DSPs, and electric vehicles (EVs) are not eligible for enrollment.

5.  HOW TO OBTAIN SERVICE

If you have any issue for which one of the roadside assistance services outlined above are necessary, please request service from Amazon DSP dispatcher. Dispatcher may request services at urgentlywaypro.geturgently.com.

6.  EXCLUSIONS FROM COVERAGE

This benefits plan does not cover any of the following:

7.  LIABILITY AND LIMITATION OF LIABILITY

WE are not responsible for repairs or the availability, delivery or installation of parts including but not limited to batteries, replacement keys, and tires. All parts used and services provided by the service facility must be authorized and paid for by YOU.

WE will not accept responsibility for the safeguarding or risk of damage or loss of any vehicle contents. You should arrange for the unloading, transfer and/or storage of vehicle contents either prior to requesting roadside assistance or as soon thereafter as is practicable.

All authorized service providers are independent contractors and are not OUR agents or employees, therefore WE will assume no liability for any damage to the vehicle resulting from the rendering of service or for personal items left in the vehicle. WE are not responsible for indirect, incidental, consequential, exemplary, punitive, or special damages as a result of any act of the vendor in rendering service requested by YOU, which includes but is not limited to any claims for personal injury, damage to property, or loss of use.

YOUR insurance shall be primary and without the right of contribution from OUR insurance with respect to any losses arising from, or relating to any claims, demands, actions or threat of action arising from or relating to Roadside Assistance Services provided under the Agreement.

8.  PAYMENTS

Way.com serves as the merchant-of-record for YOUR Urgently Way Pro Fleet Subscription Plan. The payment billing cycle is on an annual cycle, from the date of purchase, and established with automatic renewal.

9.  CANCELATION

YOU may cancel YOUR Urgently Way Pro Fleet Subscription Plan at any time. Cancelation requests can either be entered at [URL] or may automatically occur based upon feed of current eligible vehicles supplied to Way.com. If the COVERED VEHICLE is no longer active in your fleet, please update your Amazon Fleet Management Portal. YOUR Urgently Way Pro Fleet Subscription Plan will automatically be cancelled within ten (10) days of removal from the Amazon Fleet Management Portal. Upon cancelation, YOUR Urgently Way Pro Fleet Subscription Plan benefits will end immediately.

WE, in collaboration with Way.com, may elect to cancel YOUR Urgently Way Pro Fleet Subscription Plan for any reason at any time.

Subject to the State Specific Amendments below, At the time of cancelation, a straight prorated refund will be credited to the payment method on file for the remaining equity on the plan, provided the COVERED VEHICLE has not redeemed service benefits within the current TERM.

10.  COMPLETE AGREEMENT

YOU acknowledge that YOU have read this Agreement and any exhibits, understand them, and agree to be bound by their terms, and further agree that they are the complete and exclusive statement of the Agreement between the YOU and US that supersedes and merges all prior proposals, understandings, and all other agreements, oral and written, between YOU and US relating to this Agreement. This Agreement may not be modified or altered except by written instrument duly executed by YOU and US.

11.  TRANSFER

This Urgently Way Pro Fleet Subscription Plan is non-transferable. If vehicle ownership changes, please cancel this Urgently Way Pro Fleet Subscription Plan. Cancelation terms then apply.

12.  STATE SPECIFIC AMENDMENTS

NOTICE TO WISCONSIN AND UTAH RESIDENTS: Renewals on Altered Terms or Non-renewal of your auto club Urgently Way Pro Fleet Subscription Plan; Cancellation for non-payment 60 days prior to the renewal of your auto club Urgently Way Pro Fleet Subscription Plan, we will email notice to you explaining any changes in benefits or increase in Urgently Way Pro Fleet Subscription Plan fees (unless the fee increase is less than 25%). Any changes to your contract will not take effect until 60 days after notice to you is given.   If we decide not to renew your Urgently Way Pro Fleet Subscription Plan, your benefits and services will continue until 60 days following your written notification of non-renewal. Should you fail to pay your motor club Urgently Way Pro Fleet Subscription Plan fee, we will notify you in writing that your benefits will be suspended 10 days following such notification.


NOTICE TO WISCONSIN RESIDENTS KEEP THIS NOTICE WITH YOUR INSURANCE PAPERS PROBLEMS WITH YOUR INSURANCE?

If you are having problems with your insurance company or agent, do not hesitate to contact the insurance company or agent to resolve your problem. You can also contact the OFFICE OF THE COMMISSIONER OF INSURANCE, a state agency which enforces Wisconsin’s insurance laws, and file a complaint. NOTICE FOR MISSISSIPPI RESIDENTS: This Urgently Way Pro Fleet Subscription Plan may be canceled at any time by providing written notice thereof by either the club or the member, and that the member will, if the dues or Urgently Way Pro Fleet Subscription Plan fee has been paid thereupon, be entitled to a refund of the unused portion of the consideration paid for such contract, calculated on a pro rata basis over the period of the contract, without any deductions, provided that CT Auto Club, Inc. may make a reasonable minimum charge.


NOTICE TO OKLAHOMA, MONTANA, WYOMING, MASSACHUSETTS, & NEVADA RESIDENTS: This Urgently Way Pro Fleet Subscription Plan may be canceled at any time by either CT Auto Club, Inc. or by Member.  Upon cancellation, Member will be entitled to the unused portion of the Urgently Way Pro Fleet Subscription Plan fee paid, calculated on a pro rata basis without any deductions.
