{"id":1890,"date":"2026-04-14T13:39:19","date_gmt":"2026-04-14T13:39:19","guid":{"rendered":"https:\/\/www.way.com\/business\/?page_id=1890"},"modified":"2026-04-14T13:39:45","modified_gmt":"2026-04-14T13:39:45","slug":"terms-of-service","status":"publish","type":"page","link":"https:\/\/www.way.com\/business\/terms-of-service\/","title":{"rendered":"Way Business Terms of Service"},"content":{"rendered":"<p>These Way Business Partner Terms of Service (&#8220;Terms&#8221;) govern access to and use of the Way Business platform, products, software, APIs, and services (collectively, the &#8220;Services&#8221;) provided by <strong>Way.com, Inc.<\/strong> and its affiliates (&#8220;Way,&#8221; &#8220;Company,&#8221; &#8220;we,&#8221; &#8220;us,&#8221; or &#8220;our&#8221;).<\/p>\n<p>These Terms apply to <strong>business partners<\/strong>, including but not limited to:<\/p>\n<ul>\n<li>Credit unions and financial institutions<\/li>\n<li>Dealerships and automotive retailers<\/li>\n<li>Repair shops and service providers<\/li>\n<li>Fleet operators<\/li>\n<li>Insurance partners<\/li>\n<li>Businesses integrating Way&#8217;s APIs or software products<\/li>\n<\/ul>\n<p>By registering for, accessing, or using the Services, the Partner agrees to these Terms.<\/p>\n<p><strong>1. Definitions<\/strong><\/p>\n<p><strong>&#8220;Partner&#8221;<\/strong> means any business entity accessing or using the Services.<\/p>\n<p><strong>&#8220;Partner Customer&#8221;<\/strong> means an end user or customer of the Partner who receives services through the Platform.<\/p>\n<p><strong>&#8220;Platform&#8221;<\/strong> means the Way Business website, applications, APIs, dashboards, and software services.<\/p>\n<p><strong>&#8220;Services&#8221;<\/strong> means all tools, products, integrations, analytics, and software provided by Way.<\/p>\n<p><strong>&#8220;Partner Data&#8221;<\/strong> means business or customer data submitted by Partner to the Platform.<\/p>\n<p><strong>&#8220;Confidential Information&#8221;<\/strong> means any non-public information disclosed between the parties.<\/p>\n<p><strong>2. Eligibility and Authority<\/strong><\/p>\n<p>The Partner represents and warrants that:<\/p>\n<ol>\n<li>It is a legally registered business entity.<\/li>\n<li>The individual accepting these Terms has authority to bind the organization.<\/li>\n<li>Use of the Services complies with all applicable laws and regulations.<\/li>\n<\/ol>\n<p>Partners may not access the Services if they are competitors attempting to monitor the Platform or if prohibited by applicable law.<\/p>\n<p><strong>3. License Grant<\/strong><\/p>\n<p>Subject to these Terms, Way grants the Partner a <strong>limited, non-exclusive, non-transferable, revocable license<\/strong> to access and use the Platform solely for:<\/p>\n<ul>\n<li>Managing automotive services<\/li>\n<li>Offering Way-enabled services to Partner Customers<\/li>\n<li>Accessing dashboards, analytics, and reporting<\/li>\n<li>Integrating via APIs or approved integrations<\/li>\n<\/ul>\n<p>The license does <strong>not permit<\/strong>:<\/p>\n<ul>\n<li>Reselling the software unless authorized<\/li>\n<li>Copying or modifying the software<\/li>\n<li>Reverse engineering or decompiling<\/li>\n<li>Creating derivative products based on the Platform<\/li>\n<\/ul>\n<p>All rights not expressly granted are reserved by Way.<\/p>\n<p><strong>4. Partner Responsibilities<\/strong><\/p>\n<p>The Partner agrees to:<\/p>\n<ol>\n<li>Provide accurate business information.<\/li>\n<li>Maintain security of login credentials.<\/li>\n<li>Ensure employees use the Platform appropriately.<\/li>\n<li>Comply with all applicable laws including:\n<ul>\n<li>consumer protection laws<\/li>\n<li>financial regulations<\/li>\n<li>privacy and data protection laws<\/li>\n<\/ul>\n<\/li>\n<li>Obtain required consent from customers before sharing their data.<\/li>\n<\/ol>\n<p>The Partner is solely responsible for:<\/p>\n<ul>\n<li>Customer communications<\/li>\n<li>Service delivery to end users<\/li>\n<li>Pricing offered to customers (unless set by Way)<\/li>\n<\/ul>\n<p><strong>5. Partner Customer Relationships<\/strong><\/p>\n<p>Way acts solely as a <strong>technology platform provider<\/strong>.<\/p>\n<p>The Partner acknowledges:<\/p>\n<ul>\n<li>Way is <strong>not responsible for the Partner&#8217;s services or obligations to customers<\/strong><\/li>\n<li>Any agreement between the Partner and Partner Customers is independent from Way<\/li>\n<li>Way is not liable for disputes between Partner and Partner Customers<\/li>\n<\/ul>\n<p>Partners must handle all customer complaints related to their services.<\/p>\n<p><strong>6. Third-Party Integrations<\/strong><\/p>\n<p>The Platform may integrate with third-party services such as:<\/p>\n<ul>\n<li>Accounting software (e.g., Xero)<\/li>\n<li>Payroll systems<\/li>\n<li>CRM platforms<\/li>\n<li>Insurance providers<\/li>\n<li>Financial institutions<\/li>\n<li>Automotive marketplaces<\/li>\n<\/ul>\n<p>Way does not control or guarantee the performance of third-party services.<\/p>\n<p>Partner use of third-party services is subject to those providers&#8217; terms.<\/p>\n<p><strong>7. APIs and Developer Access<\/strong><\/p>\n<p>Way may provide APIs or developer tools for integration.<\/p>\n<p>Partners agree:<\/p>\n<ul>\n<li>Not to abuse API rate limits<\/li>\n<li>Not to scrape or replicate platform data<\/li>\n<li>Not to build competing products using the APIs<\/li>\n<li>To maintain secure storage of API keys<\/li>\n<\/ul>\n<p>Way reserves the right to suspend API access for misuse.<\/p>\n<p><strong>8. Fees and Payment<\/strong><\/p>\n<p>Certain Services may require payment of subscription, transaction, or service fees.<\/p>\n<p>Partner agrees to:<\/p>\n<ul>\n<li>Pay all applicable fees<\/li>\n<li>Maintain valid billing information<\/li>\n<li>Authorize Way or its payment processor to charge applicable fees<\/li>\n<\/ul>\n<p>Unless otherwise stated:<\/p>\n<ul>\n<li>Fees are <strong>non-refundable<\/strong><\/li>\n<li>Way may modify pricing with reasonable notice<\/li>\n<\/ul>\n<p><strong>9. Data Ownership and Use<\/strong><\/p>\n<p><strong>Partner Data<\/strong><\/p>\n<p>The Partner retains ownership of Partner Data submitted to the Platform.<\/p>\n<p>However, the Partner grants Way a <strong>non-exclusive license to use Partner Data<\/strong> for:<\/p>\n<ul>\n<li>Providing the Services<\/li>\n<li>Improving platform functionality<\/li>\n<li>Security monitoring<\/li>\n<li>Analytics and reporting<\/li>\n<\/ul>\n<p><strong>Aggregated Data<\/strong><\/p>\n<p>Way may use <strong>aggregated and anonymized data<\/strong> derived from Partner activity for:<\/p>\n<ul>\n<li>analytics<\/li>\n<li>benchmarking<\/li>\n<li>product improvements<\/li>\n<\/ul>\n<p>Such data will not identify individual Partners or customers.<\/p>\n<p><strong>10. Data Security<\/strong><\/p>\n<p>Way implements commercially reasonable technical and organizational measures to protect data.<\/p>\n<p>However, the Partner acknowledges that:<\/p>\n<ul>\n<li>No system can be guaranteed 100% secure<\/li>\n<li>The Partner is responsible for maintaining its own security practices<\/li>\n<\/ul>\n<p>Partners must notify Way immediately of any suspected data breach.<\/p>\n<p><strong>11. Confidentiality<\/strong><\/p>\n<p>Each party agrees to protect the other party&#8217;s Confidential Information and use it only for purposes related to the Services.<\/p>\n<p>Confidential Information does not include information that:<\/p>\n<ul>\n<li>Is publicly available<\/li>\n<li>Was independently developed<\/li>\n<li>Was lawfully obtained from another source<\/li>\n<\/ul>\n<p>This obligation survives termination of the agreement.<\/p>\n<p><strong>12. Service Availability<\/strong><\/p>\n<p>Way strives to maintain reliable platform performance but does not guarantee uninterrupted availability.<\/p>\n<p>The Services may occasionally be unavailable due to:<\/p>\n<ul>\n<li>maintenance<\/li>\n<li>upgrades<\/li>\n<li>system failures<\/li>\n<li>external disruptions<\/li>\n<\/ul>\n<p>Way reserves the right to modify or discontinue features.<\/p>\n<p><strong>13. Intellectual Property<\/strong><\/p>\n<p>All intellectual property rights in the Platform, including:<\/p>\n<ul>\n<li>software<\/li>\n<li>algorithms<\/li>\n<li>trademarks<\/li>\n<li>designs<\/li>\n<li>documentation<\/li>\n<\/ul>\n<p>are owned by Way or its licensors.<\/p>\n<p>Partners may not use Way trademarks without written permission.<\/p>\n<p><strong>14. Indemnification<\/strong><\/p>\n<p>The Partner agrees to indemnify and hold harmless Way and its affiliates from claims arising from:<\/p>\n<ul>\n<li>Partner services<\/li>\n<li>misuse of the Platform<\/li>\n<li>violation of applicable laws<\/li>\n<li>disputes with Partner Customers<\/li>\n<\/ul>\n<p><strong>15. Limitation of Liability<\/strong><\/p>\n<p>To the maximum extent permitted by law, Way shall not be liable for:<\/p>\n<ul>\n<li>indirect damages<\/li>\n<li>lost revenue<\/li>\n<li>lost business opportunities<\/li>\n<li>data loss<\/li>\n<li>service interruptions<\/li>\n<\/ul>\n<p>Way&#8217;s total liability will not exceed the total fees paid by the Partner during the <strong>12 months preceding the claim<\/strong>.<\/p>\n<p><strong>16. Disclaimer of Warranties<\/strong><\/p>\n<p>The Services are provided <strong>&#8220;as is&#8221; and &#8220;as available.&#8221;<\/strong><\/p>\n<p>Way makes no warranties regarding:<\/p>\n<ul>\n<li>uninterrupted service<\/li>\n<li>error-free operation<\/li>\n<li>third-party integrations<\/li>\n<li>financial outcomes or business results<\/li>\n<\/ul>\n<p><strong>17. Term and Termination<\/strong><\/p>\n<p>These Terms remain in effect until terminated.<\/p>\n<p>Way may suspend or terminate access if:<\/p>\n<ul>\n<li>the Partner violates these Terms<\/li>\n<li>required by law<\/li>\n<li>security risks arise<\/li>\n<li>non-payment of fees occurs<\/li>\n<\/ul>\n<p>Upon termination:<\/p>\n<ul>\n<li>Platform access may be disabled<\/li>\n<li>Certain data may be retained as required by law<\/li>\n<\/ul>\n<p><strong>18. Compliance with Laws<\/strong><\/p>\n<p>Partners must comply with all applicable laws including:<\/p>\n<ul>\n<li>financial regulations<\/li>\n<li>privacy laws<\/li>\n<li>anti-money laundering regulations<\/li>\n<li>consumer protection laws<\/li>\n<\/ul>\n<p>Way may suspend access if compliance concerns arise.<\/p>\n<p><strong>19. Modifications to Terms<\/strong><\/p>\n<p>Way may update these Terms periodically.<\/p>\n<p>Updated Terms will be posted on the website with a revised <strong>Last Updated<\/strong> date.<\/p>\n<p>Continued use of the Services constitutes acceptance of the revised Terms.<\/p>\n<p><strong>20. Governing Law and Dispute Resolution<\/strong><\/p>\n<p>These Terms shall be governed by the laws of <strong>the State of California, United States<\/strong>, without regard to conflict of law principles.<\/p>\n<p>Any disputes shall be resolved through binding arbitration unless otherwise required by law.<\/p>\n<p><strong>21.
