These Way Business Partner Terms of Service (“Terms”) govern access to and use of the Way Business platform, products, software, APIs, and services (collectively, the “Services”) provided by Way.com, Inc. and its affiliates (“Way,” “Company,” “we,” “us,” or “our”).
These Terms apply to business partners, including but not limited to:
- Credit unions and financial institutions
- Dealerships and automotive retailers
- Repair shops and service providers
- Fleet operators
- Insurance partners
- Businesses integrating Way’s APIs or software products
By registering for, accessing, or using the Services, the Partner agrees to these Terms.
1. Definitions
“Partner” means any business entity accessing or using the Services.
“Partner Customer” means an end user or customer of the Partner who receives services through the Platform.
“Platform” means the Way Business website, applications, APIs, dashboards, and software services.
“Services” means all tools, products, integrations, analytics, and software provided by Way.
“Partner Data” means business or customer data submitted by Partner to the Platform.
“Confidential Information” means any non-public information disclosed between the parties.
2. Eligibility and Authority
The Partner represents and warrants that:
- It is a legally registered business entity.
- The individual accepting these Terms has authority to bind the organization.
- Use of the Services complies with all applicable laws and regulations.
Partners may not access the Services if they are competitors attempting to monitor the Platform or if prohibited by applicable law.
3. License Grant
Subject to these Terms, Way grants the Partner a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for:
- Managing automotive services
- Offering Way-enabled services to Partner Customers
- Accessing dashboards, analytics, and reporting
- Integrating via APIs or approved integrations
The license does not permit:
- Reselling the software unless authorized
- Copying or modifying the software
- Reverse engineering or decompiling
- Creating derivative products based on the Platform
All rights not expressly granted are reserved by Way.
4. Partner Responsibilities
The Partner agrees to:
- Provide accurate business information.
- Maintain security of login credentials.
- Ensure employees use the Platform appropriately.
- Comply with all applicable laws including:
- consumer protection laws
- financial regulations
- privacy and data protection laws
- Obtain required consent from customers before sharing their data.
The Partner is solely responsible for:
- Customer communications
- Service delivery to end users
- Pricing offered to customers (unless set by Way)
5. Partner Customer Relationships
Way acts solely as a technology platform provider.
The Partner acknowledges:
- Way is not responsible for the Partner’s services or obligations to customers
- Any agreement between the Partner and Partner Customers is independent from Way
- Way is not liable for disputes between Partner and Partner Customers
Partners must handle all customer complaints related to their services.
6. Third-Party Integrations
The Platform may integrate with third-party services such as:
- Accounting software (e.g., Xero)
- Payroll systems
- CRM platforms
- Insurance providers
- Financial institutions
- Automotive marketplaces
Way does not control or guarantee the performance of third-party services.
Partner use of third-party services is subject to those providers’ terms.
7. APIs and Developer Access
Way may provide APIs or developer tools for integration.
Partners agree:
- Not to abuse API rate limits
- Not to scrape or replicate platform data
- Not to build competing products using the APIs
- To maintain secure storage of API keys
Way reserves the right to suspend API access for misuse.
8. Fees and Payment
Certain Services may require payment of subscription, transaction, or service fees.
Partner agrees to:
- Pay all applicable fees
- Maintain valid billing information
- Authorize Way or its payment processor to charge applicable fees
Unless otherwise stated:
- Fees are non-refundable
- Way may modify pricing with reasonable notice
9. Data Ownership and Use
Partner Data
The Partner retains ownership of Partner Data submitted to the Platform.
However, the Partner grants Way a non-exclusive license to use Partner Data for:
- Providing the Services
- Improving platform functionality
- Security monitoring
- Analytics and reporting
Aggregated Data
Way may use aggregated and anonymized data derived from Partner activity for:
- analytics
- benchmarking
- product improvements
Such data will not identify individual Partners or customers.
10. Data Security
Way implements commercially reasonable technical and organizational measures to protect data.
However, the Partner acknowledges that:
- No system can be guaranteed 100% secure
- The Partner is responsible for maintaining its own security practices
Partners must notify Way immediately of any suspected data breach.
11. Confidentiality
Each party agrees to protect the other party’s Confidential Information and use it only for purposes related to the Services.
Confidential Information does not include information that:
- Is publicly available
- Was independently developed
- Was lawfully obtained from another source
This obligation survives termination of the agreement.
12. Service Availability
Way strives to maintain reliable platform performance but does not guarantee uninterrupted availability.
The Services may occasionally be unavailable due to:
- maintenance
- upgrades
- system failures
- external disruptions
Way reserves the right to modify or discontinue features.
13. Intellectual Property
All intellectual property rights in the Platform, including:
- software
- algorithms
- trademarks
- designs
- documentation
are owned by Way or its licensors.
Partners may not use Way trademarks without written permission.
14. Indemnification
The Partner agrees to indemnify and hold harmless Way and its affiliates from claims arising from:
- Partner services
- misuse of the Platform
- violation of applicable laws
- disputes with Partner Customers
15. Limitation of Liability
To the maximum extent permitted by law, Way shall not be liable for:
- indirect damages
- lost revenue
- lost business opportunities
- data loss
- service interruptions
Way’s total liability will not exceed the total fees paid by the Partner during the 12 months preceding the claim.
16. Disclaimer of Warranties
The Services are provided “as is” and “as available.”
Way makes no warranties regarding:
- uninterrupted service
- error-free operation
- third-party integrations
- financial outcomes or business results
17. Term and Termination
These Terms remain in effect until terminated.
Way may suspend or terminate access if:
- the Partner violates these Terms
- required by law
- security risks arise
- non-payment of fees occurs
Upon termination:
- Platform access may be disabled
- Certain data may be retained as required by law
18. Compliance with Laws
Partners must comply with all applicable laws including:
- financial regulations
- privacy laws
- anti-money laundering regulations
- consumer protection laws
Way may suspend access if compliance concerns arise.
19. Modifications to Terms
Way may update these Terms periodically.
Updated Terms will be posted on the website with a revised Last Updated date.
Continued use of the Services constitutes acceptance of the revised Terms.
20. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of California, United States, without regard to conflict of law principles.
Any disputes shall be resolved through binding arbitration unless otherwise required by law.
